Terms of Service

These Terms of Service ("Terms") govern access to and use of websites, products, software, APIs, AI agents, and related services provided by Bueniq Inc. ("Bueniq," "we," "us," or "our"). By using the services, you agree to these Terms.

1. Services

Bueniq provides revenue intelligence software and related services that may include signal monitoring, account scoring, AI-generated summaries, workflow recommendations, CRM synchronization, and sales execution support. Specific commercial terms may be set out in an order form, statement of work, or master services agreement.

2. Accounts and access

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You must provide accurate information and promptly notify us of unauthorized access or security incidents.

3. Acceptable use

You may not use the services to violate laws, infringe rights, send unlawful or deceptive communications, scrape or misuse data, interfere with service integrity, reverse engineer protected software, bypass security controls, or generate content that is unlawful, harmful, or misleading.

4. Customer data

You retain ownership of data you submit to the services. You grant Bueniq the rights needed to host, process, transmit, display, and use customer data to provide the services, support, security, troubleshooting, and other purposes described in the applicable agreement.

5. AI outputs

AI-generated outputs may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing outputs before use, especially for outbound communications, legal, financial, compliance, employment, or other high-impact decisions.

6. Integrations

The services may connect to third-party tools such as CRMs, data providers, communication platforms, or analytics services. Your use of third-party services is governed by their terms, and Bueniq is not responsible for third-party products or data handling outside our control.

7. Fees and payment

Fees, payment schedules, taxes, usage limits, and renewal terms are set out in the applicable order form or agreement. Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing.

8. Confidentiality

Each party may receive confidential business, technical, financial, or product information from the other. Confidential information must be protected using reasonable care and used only for purposes related to the services.

9. Intellectual property

Bueniq and its licensors retain all rights in the services, software, models, interfaces, documentation, templates, workflows, and underlying technology. No rights are granted except as expressly stated in these Terms or a written agreement.

10. Privacy

Our Privacy Policy describes how we collect and process personal information. Customer data processing may also be governed by a data processing agreement or similar written terms.

11. Disclaimers

Except as expressly stated in a written agreement, the services are provided "as is" and "as available." Bueniq disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Bueniq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Any aggregate liability will be limited to the amount paid for the services during the 12 months before the event giving rise to liability, unless a written agreement states otherwise.

13. Termination

Either party may terminate access as allowed by the applicable agreement. Upon termination, your right to use the services ends, and data return or deletion will be handled according to the agreement and applicable law.

14. Governing law

Unless a written agreement states otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
